Introduction
Welcome to FlowGuide (“Company,” “we,” “our,” “us”)!

These Terms of Service (“Terms,” “Terms of Service”) govern your use of our web pages located at https://www.flowguide.io (the “Service”), which is operated by FlowGuide.

Our Privacy Policy also applies to your use of our Service and explains how we collect, safeguard, and disclose information resulting from your use of our web pages. Please review it carefully.

Your agreement with us includes both these Terms and our Privacy Policy (together, the “Agreements”). By using the Service, you acknowledge that you have read and understood the Agreements and agree to be bound by them.

If you do not agree with (or cannot comply with) the Agreements, then you may not use the Service. However, we encourage you to email us at help@flowguide.io so we can attempt to address any concerns. These Terms apply to all visitors, users, and anyone else who wishes to access or use the Service.

1. Communications

By creating an account on our Service, you consent to receive newsletters, marketing or promotional materials, and other information we may send. You may opt out of receiving any or all of these communications from us at any time by following the unsubscribe link or by emailing us directly.

2. Purchases

If you wish to purchase any product or service made available through the Service (“Purchase”), we may request certain information relevant to your Purchase, including, but not limited to:

  • Credit card number

  • Credit card expiration date

  • Billing address

  • Shipping information

You represent and warrant that:

  1. You have the legal right to use any credit card(s) or other payment method(s) in connection with any Purchase; and

  2. The information you supply to us is true, correct, and complete.

We may use third-party services to facilitate payment and completion of Purchases. By submitting your information, you grant us the right to provide this information to these third parties in accordance with our Privacy Policy.

We reserve the right to refuse or cancel your order at any time for various reasons, including but not limited to: product or service availability, inaccuracies in the description or pricing of a product or service, errors in your order, or suspected fraud or unauthorized or illegal activity.

3. Subscriptions

Some parts of the Service are provided on a subscription basis (“Subscription”). You will be billed in advance on a recurring, periodic basis (“Billing Cycle”). Billing cycles are typically monthly or annual, depending on your subscription plan.

At the end of each Billing Cycle, your Subscription will renew automatically under the exact same terms unless you cancel it or FlowGuide cancels it. You may cancel your Subscription renewal at any time through your online account management page or by contacting FlowGuide customer support.

You must provide a valid payment method (credit card or PayPal) to process your Subscription payments. You agree to supply FlowGuide with accurate and complete billing information, including your full name, address, state, zip code, telephone number, and valid payment method details. By submitting your payment information, you authorize FlowGuide to charge all incurred Subscription fees through your account.

If an automatic billing attempt fails for any reason, FlowGuide will issue an electronic invoice indicating that you must manually settle the payment by a specified deadline.

4. Free Trial

FlowGuide may, at its sole discretion, offer a Subscription with a free trial for a limited period (“Free Trial”).

You may be asked to enter your billing information to sign up for the Free Trial. If you do, you will not be charged by FlowGuide until the Free Trial expires. On the last day of the Free Trial, unless you cancel your Subscription, you will be automatically charged the applicable Subscription fees for the plan you selected.

FlowGuide reserves the right to modify the Free Trial terms or cancel the Free Trial offer at any time without notice.

5. Fee Changes

FlowGuide may, at its sole discretion and at any time, modify Subscription fees. Any Subscription fee change will become effective at the end of the then-current Billing Cycle.

FlowGuide will provide you with reasonable prior notice of any change in Subscription fees, allowing you sufficient time to cancel your Subscription before the new rate takes effect.

Your continued use of the Service after the Subscription fee change becomes effective signifies your agreement to pay the modified Subscription fee.

6. Refunds

Except where required by law, any paid Subscription fees are non-refundable.

7. Content

Our Service permits you to post, link, store, share, and otherwise make available certain information, text, graphics, videos, or other materials (“Content”). You are solely responsible for the legality, reliability, and appropriateness of any Content you post on or through the Service.

By posting Content on or through the Service, you represent and warrant that:

  1. You own or otherwise control all necessary rights to the Content.

  2. You have the authority to grant FlowGuide the rights and license to the Content as provided in these Terms.

  3. Your posting of the Content does not violate privacy rights, publicity rights, copyrights, contract rights, or any other rights of any person or entity.

We reserve the right to terminate accounts that infringe on copyrights or other intellectual property rights.

You retain all ownership rights to any Content you post. However, by posting Content using the free version of our Service, you grant FlowGuide a right and license to use, modify, publicly perform, publicly display, reproduce, and distribute such Content on and through the Service.

8. Prohibited Uses

You may use the Service only for lawful purposes and in compliance with these Terms. You agree not to use the Service:

  1. In violation of any applicable national or international laws or regulations.

  2. To exploit, harm, or attempt to harm minors in any manner.

  3. To distribute or facilitate the sending of advertising or promotional material, including “junk mail,” “chain letters,” or “spam.”

  4. To impersonate FlowGuide, a FlowGuide employee, another user, or any other person or entity.

  5. In a manner that infringes upon the rights of others, or that is illegal, threatening, fraudulent, or harmful.

  6. To engage in any conduct that may harm or offend FlowGuide or its users, or expose them to liability.

Additionally, you agree not to:

  • Use the Service in any way that could disable, overburden, damage, or impair it, or interfere with anyone else’s use of the Service.

  • Use any robot, spider, or other automated device or process to access the Service for any unauthorized purpose.

  • Use any manual process to monitor or copy any material on the Service without prior written consent.

  • Use any device, software, or routine that interferes with the proper functioning of the Service.

  • Introduce any viruses, trojan horses, worms, logic bombs, or other harmful material.

  • Attempt unauthorized access to the Service, the server on which the Service is hosted, or any server, computer, or database connected to the Service.

  • Attack the Service via a denial-of-service or distributed denial-of-service attack.

  • Take any action that may damage or falsify the Company’s rating.

  • Otherwise attempt to interfere with the Service’s proper operation.

9. Analytics

We may employ third-party Service Providers to monitor and analyze the usage of our Service.

Google Analytics
Google Analytics is a web analytics service provided by Google. It tracks and reports website traffic and uses the data to monitor and improve our Service. Google may share this data with its other services and use it to personalize its own advertising network content.

10. No Use By Minors

The Service is intended only for individuals at least 18 years old. By accessing or using the Service, you represent and warrant that you are at least 18 years of age and possess the legal authority to agree to these Terms. If you are not 18 or older, you are prohibited from accessing or using the Service.

11. Accounts

When creating an account with us, you warrant that you are at least 18 and that all information provided is accurate, complete, and current. Inaccurate or incomplete information may result in the immediate termination of your account.

You are responsible for safeguarding your account and password, including restricting access to your device(s). You agree to accept responsibility for all activities that occur under your account. You must notify us immediately if you become aware of any breach of security or unauthorized use of your account.

You may not use a username that is the name of another person or entity without authorization or is otherwise offensive, vulgar, or obscene. We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders at our discretion.

12. Intellectual Property

The Service and its original content (excluding Content provided by users), features, and functionality are and will remain the exclusive property of FlowGuide and its licensors. The Service is protected by copyright, trademark, and other laws of the United States and other jurisdictions. FlowGuide’s trademarks and trade dress may not be used in connection with any product or service without the prior written consent of FlowGuide.

13. Copyright Policy

FlowGuide respects the intellectual property rights of others and responds to any claim that Content posted on the Service infringes upon any person or entity’s copyright or other intellectual property rights (“Infringement”).

If you are a copyright owner or authorized agent thereof and believe that Content infringes your copyright, please submit your claim via email to help@flowguide.io with the subject line “Copyright Infringement,” and include a detailed description of the alleged infringement.

You may be liable for damages (including costs and attorneys’ fees) for any misrepresentation or bad-faith claims regarding alleged copyright infringement on or through the Service.

14. DMCA Notice and Procedure for Copyright Infringement Claims

To notify us of an alleged copyright infringement, please provide our Copyright Agent with a written notice containing the following (see 17 U.S.C. §512(c)(3) for further detail):

  1. An electronic or physical signature of the person authorized to act on behalf of the copyright owner.

  2. A description of the copyrighted work you claim has been infringed, including the URL or a copy of the copyrighted work.

  3. Identification of the URL or specific location on the Service where the material alleged to be infringing is located.

  4. Your address, telephone number, and email address.

  5. A statement that you have a good-faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.

  6. A statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf.

15. Error Reporting and Feedback

You may provide us with information and feedback regarding errors, suggestions for improvements, ideas, problems, or other matters related to our Service (“Feedback”) at help@flowguide.io. You acknowledge and agree that:

  1. You will not retain or assert any intellectual property right or other claim to the Feedback.

  2. FlowGuide may have development ideas similar to the Feedback.

  3. The Feedback does not contain confidential or proprietary information of yourself or any third party.

  4. FlowGuide is not under any obligation of confidentiality with respect to the Feedback.

Where the transfer of ownership in the Feedback is not possible under applicable law, you grant FlowGuide an exclusive, transferable, irrevocable, free-of-charge, sub-licensable, unlimited, and perpetual license to use the Feedback in any manner and for any purpose.

16. Links to Other Websites

Our Service may contain links to third-party websites or services not owned or controlled by FlowGuide. FlowGuide assumes no responsibility for the content, privacy policies, or practices of such third-party sites and does not endorse their offerings.

You acknowledge and agree that FlowGuide shall not be liable for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance upon any third-party content, goods, or services. We strongly advise you to review the terms of service and privacy policies of any third-party websites or services you visit.

17. Disclaimer of Warranty

The Service is provided on an “AS IS” and “AS AVAILABLE” basis. FlowGuide makes no representations or warranties of any kind, express or implied, regarding the operation of the Service or the information, content, or materials included therein. You expressly agree that your use of the Service, its content, and any services or items obtained from us is at your sole risk.

Neither FlowGuide nor anyone associated with FlowGuide makes any warranty that the Service will be accurate, reliable, error-free, or uninterrupted; that defects will be corrected; or that the Service or the server that makes it available is free of viruses or other harmful components.

To the fullest extent permitted by law, FlowGuide disclaims all warranties, whether express, implied, statutory, or otherwise, including but not limited to warranties of merchantability, non-infringement, and fitness for a particular purpose.

18. Limitation of Liability

Except where prohibited by law, you agree to hold FlowGuide and its officers, directors, employees, and agents harmless from any indirect, punitive, special, incidental, or consequential damages, however arising (including attorneys’ fees and litigation costs), whether in an action of contract, negligence, or other tortious action, or arising out of or in connection with this agreement. This includes any claim for personal injury or property damage resulting from or related to a breach of any federal, state, or local law or regulation.

Where liability is found on the part of FlowGuide, it is limited to the amount paid for the products and/or services, and under no circumstances will there be consequential or punitive damages. Some states do not allow the exclusion or limitation of such damages, so the above limitation may not apply to you.

19. Termination

We reserve the right to terminate or suspend your account and bar access to the Service immediately, without prior notice or liability, at our sole discretion, for any reason, including breach of these Terms.

If you wish to terminate your account, you may simply discontinue using the Service.

All provisions of the Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnities, and limitations of liability.

20. Governing Law

These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions.

Our failure to enforce any right or provision in these Terms shall not be considered a waiver of those rights. If any provision of these Terms is found invalid or unenforceable by a court, the remaining provisions will remain in full force and effect. These Terms constitute the entire agreement between us regarding the Service and supersede any prior agreements.

21. Changes to Service

We reserve the right to withdraw or amend our Service, and any service or material provided via the Service, at our sole discretion without notice. We shall not be liable if all or part of the Service is unavailable at any time or for any period. From time to time, we may limit access to parts of the Service, or the entire Service, to users.

22. Amendments to Terms

We may update these Terms at any time by posting the amended Terms on this page. It is your responsibility to review these Terms periodically.

Your continued use of the Service after the posting of revised Terms indicates your acceptance and agreement to the changes. If you do not agree to the new Terms, you are no longer authorized to use the Service.

23. Waiver and Severability

No waiver by FlowGuide of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of that term or condition or any other term or condition. FlowGuide’s failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

If any provision of these Terms is held by a court or tribunal of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be eliminated or limited to the minimum extent necessary, and the remaining provisions of the Terms will continue in full force and effect.

24. Acknowledgement

By using the Service or any other services provided by us, you acknowledge that you have read these Terms of Service and agree to be bound by them.
